In the intricate world of EB-5 investments, compliance and transparency are not just regulatory requirements; they are the foundation of trust and integrity. Christian Tyler Properties (“CTP”) aims to set a benchmark in adhering to these principles.
Comprehending EB-5 Compliance:
The EB-5 Immigrant Investor Program, designed to stimulate the U.S. economy through job creation and capital investment by foreign investors, is fraught with complex legal and financial regulations. Compliance in this context means adhering to the rules established by the United States Citizenship and Immigration Services (USCIS) and other regulatory bodies. These standards are designed to ensure that investments contribute to the U.S. economy and generate the required number of jobs, while also safeguarding the program against misuse. Here are the top 6 compliance standards in the EB-5 visa program that investors should be aware of:
- Investment Amount Requirements: The EB-5 program requires a minimum investment amount, which is typically US$1,050,000. However, for
investments in Targeted Employment Areas (TEAs), which are either rural areas or areas with high unemployment, the minimum investment is reduced to US$800,000.
- Job Creation Requirements: EB-5 investors must create or preserve at least 10 full-time jobs for qualifying U.S. workers within two years of the immigrant investor’s admission to the United States as a Conditional
Permanent Resident.
- Source of Funds: Investors must demonstrate that their investment funds were obtained through lawful means. This involves providing detailed
documentation of the investor’s income, tax returns, investment or business profits, property sales, or other lawful sources of income.
- At-Risk Investment: The capital invested must be at risk for the purpose of generating a return on the capital placed at risk. This means that the investor must actually commit the capital to investment in the new commercial
enterprise, and the investment must be subject to both gain and loss.
- Sustaining the Investment: Per USCIS’ interpretation of the 2022 Reform and Integrity Act (RIA), the investment must be sustained at minimum two years from the date the requisite amount of qualifying investment is made to the new commercial enterprise and placed at risk under applicable
requirements, provided job creation requirements have been met.
- Offering Documents: The Regional Center should require the project developer to certify that the offering documents contain no misstatements on
project information and that securities counsel has reviewed and determined them to be in compliance before the offering documents are distributed. Documents should indicate clearly that projections are based on assumptions reasonably and consistently applied.
Additionally, the regional center must file Form I-956F with USCIS before any investor may file an Immigrant Petition by Regional Center Investor (Form I-526E) based on their investment in that offering. USCIS does not require proof of Form I-956F approval; rather, a Receipt Number for the Form I-956F upon which the I-526E petition is based is the only requirement for filing an EB-5 visa petition..
Compliance with these standards is crucial not only for the approval of the EB-5 visa but also for the removal of conditions on permanent residence. USCIS strictly enforces these standards, and failure to comply can result in the denial of the EB-5 visa application or of the removal of lawful permanent resident status.
